Governance

At Origin Enterprises, strong governance is the cornerstone of our sustainability strategy.

By embedding sustainability into our operations and decision-making processes, we ensure transparency, accountability, and long-term value creation across the organisation.

Our governance framework is designed to uphold the highest standards in environmental, social, and governance (ESG) practices while guiding our journey toward sustainable growth.

Our Board of Directors holds ultimate responsibility for overseeing both financial and non-financial risks and opportunities, including those related to climate change.

To drive our ESG agenda, the Board has established an ESG Committee, comprised of four independent Non-Executive Directors. This committee is tasked with defining and overseeing Origin’s ESG strategy, ensuring the development and implementation of policies, codes of practice, targets, and initiatives that align with our core values.

The ESG Committee meets at least three times a year, with meetings also attended by the Chief Executive Officer (CEO), Chief Financial Officer (CFO), and the Head of Investor Relations and Sustainability. This structure ensures a direct link between sustainability goals and the leadership team’s strategic priorities.

Our CEO oversees the strategic direction of the company, including the management of climate-related risks, while the CFO plays a pivotal role in aligning capital expenditures and business activities with sustainability objectives. Executive compensation is linked to the company’s sustainability performance, ensuring that advancing our sustainability goals remains a core element of our leadership’s remit.

The Sustainability Steering Committee, comprised of several Board members alongside senior management from key departments including Finance, Human Resources, Audit & Risk, Legal, Operations, and R&D, drives the implementation of Origin’s Nurturing Growth Framework.

This cross-functional team meets monthly to ensure that our sustainability targets are embedded into the wider business, and is supported by three sub-committees:

Ethics and Integrity

Origin is committed to upholding the highest standards of ethical conduct across all geographies in which we operate. Our Code of Conduct, supported by a range of policies, sets clear standards for ethical behaviour in every aspect of our business.

Informed by internationally recognised frameworks such as the UN Global Compact and the ILO Declaration on Fundamental Principles and Rights at Work, our Code embodies the Group’s values of Integrity, People, Partnerships, Innovation, and Community.

Governance Policies

To further strengthen our governance framework, we have implemented a range of policies aimed at ensuring ethical and sustainable business practices, including:

Anti-Bribery and Corruption

We operate a zero-tolerance approach to bribery, money laundering, fraud, and corruption, in any form.
